Terms & Conditions
Last updated:
These Terms & Conditions govern the supply of website design, development, hosting, maintenance and related services by Sprint Start.
Sprint Start is operated by Harry William Bolton, sole trader, of 7A Victoria Road North, Southsea, PO5 1PL, United Kingdom.
You can contact Sprint Start at support@sprintstart.co.uk.
1. Business customers only
Sprint Start provides its services to businesses and individuals acting for purposes relating to their trade, business, craft or profession.
By entering into an agreement with Sprint Start, you confirm that you are acting for business purposes and not wholly or mainly as a consumer.
Sprint Start does not contract with consumers. If you are acting wholly or mainly as a consumer, you must tell us before proceeding, and no agreement will be formed on these Terms.
2. Quotes, estimates and applications
Website estimates, calculator results, application submissions and other indicative prices do not by themselves create a contract or require either party to proceed.
Prices generated through the website are estimates based on the information supplied and may change if the scope or requirements change.
Items described as "to be confirmed", custom requirements and work outside the stated package are not included unless Sprint Start expressly agrees to include them.
For normal paid projects, Sprint Start will confirm the agreed scope, price and payment arrangements before work begins.
For promotional or £0 Build applications, Sprint Start may review the application, discuss the project with the applicant and decide whether to offer the promotion.
Submitting an application does not guarantee acceptance, reserve a place or create a contract.
Sprint Start may decline an application where the project is unsuitable, outside our available capacity or outside the intended scope of the offer.
A contract begins when the customer accepts Sprint Start's written proposal, scope, order confirmation or invoice and these Terms and, where an initial payment is required, that payment has been received.
The customer accepts by confirming in writing (including by email reply), by accepting electronically, or by paying an invoice after these Terms have been sent or made available to them. Paying an invoice confirms that the customer has read and agrees to these Terms.
Agreements, acceptances and notices may be made electronically and have the same effect as signed paper documents.
3. The £0 Build offer
Where Sprint Start accepts a customer for the £0 Build offer, the normal design and build fee for the agreed four-page website is waived.
The standard £0 Build scope consists of:
- Home page;
- About page;
- Contact page;
- one main service page;
- responsive/mobile-friendly design;
- agreed business branding, services, service areas and customer-supplied or approved content;
- contact form and agreed telephone/WhatsApp contact links;
- search-friendly page structure; and
- two consolidated revision rounds before launch.
Additional pages, advanced functionality, booking systems, online shops, substantial custom development, redesigns and other work outside the agreed scope are not included unless separately quoted and agreed.
Domain registration, domain renewals and business email services are not included in the £0 Build price.
12-month Managed commitment
The £0 Build offer is made on the basis that the customer commits to Sprint Start Managed for an initial minimum period of 12 months.
The 12-month commitment and Sprint Start Managed start on the day the website goes live (the launch date), not on the day the customer pays or signs.
A Managed payment made before launch is the payment for the first month from the launch date (or the first year, if paid annually). It does not pay for any time before launch.
For monthly payment, the next invoice is issued one month after the launch date, and then monthly. For annual payment, the first annual service period runs for 12 months from the launch date.
The customer may choose:
- £49 per month for 12 months; or
- £480 paid annually in advance.
Switching from monthly to annual
If the customer pays monthly, they may switch to the £480 annual price for the current 12-month commitment until the fourth monthly Managed invoice is issued. Monthly payments already received count towards the £480, and the customer pays the difference: for example, £431 after one payment, £382 after two and £333 after three.
A monthly invoice that is unpaid at the time of switching does not count towards the £480 and remains payable separately.
Once the fourth monthly invoice has been issued, switching to the annual price is not available for the rest of that 12-month commitment. The customer can choose annual billing for the next annual period.
Switching changes only how the current 12-month commitment is paid. It does not restart, extend or end the commitment, and it does not create any right to a refund. The balance invoice is payable in the usual way. Once the £480 for that commitment has been paid in full, the early-exit charge below no longer applies.
After switching, Sprint Start Managed continues on annual billing. It renews at the end of the original 12-month commitment at the annual price in force at that time (see sections 14 and 31).
This option is not available for spread-cost projects (section 5).
The waived build fee and the 12-month Managed commitment form part of the same commercial arrangement.
The £0 Build is therefore not an offer of a website with no ongoing commitment.
Ending the agreement before launch
If the customer ends the agreement before the website goes live, they pay a share of the standard £750 build price that reflects how far the work has got:
- before Sprint Start has emailed to confirm that work has started: nothing;
- after that email, before the first design has been sent: £150 (20%);
- after the first design has been sent: £300 (40%);
- after the finished website has been sent for approval: £525 (70%).
Payments already made count towards these amounts, and Sprint Start refunds anything paid above them. The 12-month commitment does not apply if the agreement ends before launch.
If Sprint Start ends the agreement before launch, other than because of the customer's breach, Sprint Start refunds all payments received.
Ending the agreement after launch
If a customer chooses monthly payment and ends the agreement during the initial 12-month commitment without Sprint Start being in material breach, the customer must pay the lower of: the unpaid Managed charges for the remainder of that initial commitment; or the standard build price waived for their website (normally £750, as shown on their invoice or quotation).
This reflects the design/build fee that was waived in consideration for the agreed initial Managed commitment.
Nothing in this section limits any right the customer may have where Sprint Start is in material breach of the agreement.
If Sprint Start chooses to end Managed during the initial 12-month commitment for a reason other than the customer's breach or non-payment, the customer will owe nothing further for the remainder of that commitment and will be entitled to ownership and handover of the website once amounts already due have been paid.
After the initial commitment has been satisfied, the customer may continue with Sprint Start Managed or arrange suitable replacement hosting in accordance with these Terms.
Sprint Start may withdraw or change the £0 Build offer for new applicants at any time. Doing so will not retrospectively alter an agreement already entered into with an accepted customer.
4. Standard paid website builds
Unless otherwise agreed, Sprint Start's standard four-page Professional Website starts at £750.
The standard package includes Home, About, Contact and one main service page.
Additional pages, features and services are charged at the price shown in the accepted estimate or quotation.
For the standard two-stage payment option:
- 50% of the agreed build price is payable as the initial deposit; and
- the remaining 50% is payable before launch or handover.
Work normally begins once the scope has been agreed and the required deposit has been received.
The initial deposit reserves project capacity and contributes towards work carried out in preparing and building the website.
If the customer cancels after work has begun, the deposit will not normally be refundable to the extent that it reasonably reflects work already carried out, resources committed or losses resulting from the cancellation.
Where work performed or expressly agreed commitments exceed the value of the deposit, Sprint Start may invoice reasonable additional amounts due for that work, provided those amounts arise from the agreed project.
If Sprint Start cancels a project and cannot provide the agreed services, Sprint Start will refund amounts paid for work that has not been provided.
5. Spread-cost projects
Where Sprint Start expressly agrees to a spread-cost build, the payment arrangement shown in the accepted quotation or estimate applies.
The current standard structure consists of:
- an initial payment equal to 40% of the build price; and
- the remaining build cost together with 12 months of Sprint Start Managed spread across the following 12 monthly payments.
Monthly amounts may be rounded as disclosed in the quotation.
The annual Managed discount does not apply during this initial spread-cost period.
Once work has commenced, the agreed initial spread-cost commitment remains payable unless Sprint Start agrees otherwise or Sprint Start is in material breach of the agreement.
After the initial 12-month period, the customer may continue Sprint Start Managed at the then-applicable monthly or annual price or arrange suitable replacement hosting.
6. Prices, invoices and VAT
Unless stated otherwise, prices are in pounds sterling (GBP).
Sprint Start is not currently VAT registered and VAT is therefore not currently added to Sprint Start's charges.
If Sprint Start becomes VAT registered, any effect on future charges will be communicated as appropriate and existing contractual obligations will be dealt with in accordance with applicable law and the relevant agreement.
Unless a different payment deadline is stated on an invoice or agreed in writing, invoices are due within seven days.
The customer is responsible for paying invoices using the payment method agreed with Sprint Start.
Where a qualifying business payment becomes overdue, Sprint Start reserves any rights available under applicable law in relation to late commercial payments, including statutory interest and recovery costs where applicable.
7. Failure to pay
If an amount remains overdue, Sprint Start may contact the customer and request payment.
A failed or overdue payment starts a 14-day grace period. During that period Sprint Start will contact the customer by email and follow up by phone or WhatsApp. If payment is still outstanding at the end of the grace period, Sprint Start will send a final dated written warning. If payment is not received within a further seven days of that warning, Sprint Start may suspend affected services, including Managed services and website hosting, until the overdue amount is paid.
Customers experiencing difficulty paying are encouraged to contact Sprint Start as early as possible.
Sprint Start will take reasonable steps to avoid unnecessary suspension and will normally provide notice before suspending a website, except where urgent action is reasonably required.
Suspension does not cancel amounts already due or an agreed minimum payment commitment.
Sprint Start may terminate the agreement for persistent or material non-payment after giving reasonable notice and an opportunity to remedy the breach.
8. Customer responsibilities
The customer must provide the information, content, files, access and decisions reasonably required for Sprint Start to deliver the project.
The customer is responsible for ensuring that information supplied to Sprint Start is accurate, lawful and up to date.
This includes, where applicable:
- business information;
- service descriptions;
- prices;
- qualifications;
- registrations;
- accreditations;
- regulatory claims;
- testimonials and reviews;
- photographs;
- logos;
- text;
- trademarks; and
- other customer-supplied material.
The customer must have the necessary rights, licences, permissions and consents to use material they supply or instruct Sprint Start to publish.
The customer must not ask Sprint Start to publish content that is unlawful, defamatory, misleading, fraudulent, infringing or otherwise reasonably considered inappropriate.
Sprint Start may request evidence supporting business claims or accreditations and may refuse to publish material where there is a reasonable concern about its legality, accuracy or ownership.
Sprint Start does not assume responsibility for independently verifying every statement, accreditation, review, price or business claim supplied or approved by the customer.
Customer approval of website content confirms that the customer accepts responsibility for the accuracy and legality of that content.
9. Customer indemnity for supplied material
To the extent permitted by law, the customer will be responsible for reasonable losses, liabilities, costs and expenses incurred by Sprint Start as a direct result of a third-party claim arising from material supplied or specifically instructed by the customer where that material infringes another person's intellectual-property rights or is unlawful, and where Sprint Start was not itself responsible for creating the infringement or unlawful content.
Sprint Start will take reasonable steps to notify the customer of such a claim and will not intentionally increase recoverable costs unnecessarily.
10. Project timescales and customer delays
Sprint Start may provide an estimated project timescale.
Unless expressly agreed otherwise in writing, project timescales are estimates rather than guaranteed completion dates.
For a typical website, customers should allow around four weeks from the agreed start date once Sprint Start has received the information, files and access needed to begin.
Delivery may be affected where:
- information or content is supplied late;
- customer feedback is delayed;
- requirements change;
- third-party services cause delays;
- additional work is requested; or
- circumstances outside Sprint Start's reasonable control arise.
Where Sprint Start requests content, approval or feedback, the customer should normally respond within five working days.
If the customer does not provide what is reasonably required, Sprint Start will send a reminder after seven days and may pause the project after 14 days, rescheduling the remaining work around other commitments.
If there is still no response 30 days after the original request, Sprint Start will send a final written warning. If there is still no response 60 days after the original request, Sprint Start may close the project by written notice. Amounts already paid are kept to the extent they reasonably reflect work carried out or resources committed, and restarting a closed project may be re-quoted.
A paused project does not make Sprint Start responsible for delays caused by the customer's failure to provide required information, access, content or decisions.
Any revised timetable will be communicated where reasonably practicable.
11. Revisions and scope changes
Where a package includes revision rounds, a revision round means one consolidated set of reasonable amendments supplied by the customer following review of the relevant version of the website.
The £0 Build includes two consolidated revision rounds before launch.
Revision rounds are intended to refine work within the agreed scope.
They do not include:
- a substantially different design direction after the agreed direction has been developed;
- additional pages;
- substantial new content creation;
- new functionality;
- new integrations;
- features outside the original scope; or
- work that would reasonably constitute a redesign or separate project.
Sprint Start may quote separately for additional revision rounds or work outside the agreed scope.
Sprint Start will not intentionally launch a website before obtaining the customer's approval to launch, except where a separate written arrangement expressly provides otherwise.
12. Sprint Start Managed
Sprint Start Managed is an ongoing service available for websites built by Sprint Start.
Unless otherwise agreed, Managed includes:
- website hosting;
- HTTPS/SSL support through the hosting platform;
- technical maintenance;
- agreed security and technical upkeep;
- automated availability/error monitoring where configured;
- contact-form delivery/failure monitoring where configured;
- spam and abuse protection;
- recovery support and assistance restoring an available saved website version;
- direct support; and
- up to 30 minutes per month of ordinary content updates to existing website content.
Ordinary content updates may include reasonable changes to existing text, images or contact details.
Unused monthly update time does not roll over.
Managed does not include unlimited development.
New pages, new features, redesigns, substantial content work, major integrations and work exceeding the included allowance may be separately quoted.
Unless otherwise agreed, Sprint Start aims to provide an initial response to Managed support requests within two working days.
This is an initial response target, not a guaranteed resolution or completion time.
Sprint Start Managed is not a 24-hour support or monitoring service and does not provide a guarantee that a website will never experience downtime, errors, attacks or third-party failures.
Sprint Start will nevertheless use reasonable care and skill in providing the Managed service and will address issues within its responsibility as reasonably appropriate.
13. Monthly Managed cancellation
After any applicable minimum commitment has been completed, monthly Sprint Start Managed may be cancelled by giving at least 30 days' notice.
Charges falling due during the notice period remain payable.
The customer must ensure suitable replacement hosting is available before Sprint Start Managed ends if the customer wants the website to remain online.
Without active replacement hosting, the website may go offline when Sprint Start's hosting service ends.
14. Annual Managed renewal and cancellation
Annual Sprint Start Managed is paid in advance for each annual service period.
For a £0 Build website, the first annual service period starts on the launch date.
Unless otherwise agreed in writing, annual Managed renews for a further annual period.
Where a customer switches to annual billing during a £0 Build commitment (section 3), the annual service period is the rest of that original 12-month commitment, and the first renewal date is the end of that commitment.
Sprint Start will send renewal reminders by email approximately 30 days and seven days before each renewal, including the renewal price.
The customer should notify Sprint Start before the renewal date if they do not wish to renew.
Once a new annual service period has begun, payments are not normally refundable simply because the customer later decides not to use the remainder of the service period.
This does not affect rights arising where Sprint Start has materially breached the agreement or where a refund is otherwise required by law.
15. Domains and business email
A customer's domain should remain registered in the customer's name or under the customer's control.
Where appropriate, Sprint Start may help the customer choose, register, configure or connect a domain.
Domain registration and renewal charges are separate from Sprint Start Managed unless expressly stated otherwise.
Customers are responsible for maintaining their domain registrar account, recovery information and payment details.
Website hosting and business email hosting are separate services.
Business email accounts, mailbox subscriptions and email-provider charges are not included unless expressly agreed.
Reasonable DNS configuration necessary to connect an agreed domain to a Sprint Start website may be included as part of launch.
Substantial domain transfers, email migrations, mailbox configuration or other work outside the agreed website scope may be quoted separately.
16. Third-party services
Sprint Start relies on third-party infrastructure and services to provide parts of its service.
These may include hosting providers, email-delivery services, monitoring services, security services, domain registrars, cloud providers and external platforms.
Sprint Start is responsible for using reasonable care and skill in selecting, configuring and managing services within its control.
However, Sprint Start cannot guarantee the uninterrupted operation of independent third-party services and is not responsible for failures caused solely by third parties outside Sprint Start's reasonable control.
Where a third-party service changes its pricing, terms, functionality or availability, Sprint Start may need to make reasonable changes to the way the affected service is provided.
Sprint Start will communicate material changes affecting a customer's paid service where reasonably practicable.
17. Website ownership
Customers retain ownership of their own pre-existing material, including their business name, logos, photographs, text and other content, subject to any third-party rights that apply to that material.
Standard paid builds
Once all build-related amounts due for a standard paid website have been paid in full, the customer will own the customer-specific website created for them, subject to the exclusions below.
£0 Build websites
For a £0 Build website, ownership of the customer-specific website transfers to the customer once the initial 12-month Sprint Start Managed commitment and any other build-related amounts due have been paid in full.
Until that point, Sprint Start retains ownership of the customer-specific website, while the customer's own content and domain remain theirs or the relevant rights-holder's property.
Sprint Start reusable material
Sprint Start retains ownership of its pre-existing and reusable:
- templates;
- components;
- libraries;
- development methods;
- workflows;
- systems;
- internal tools;
- know-how; and
- other material designed for reuse between projects.
Where such material forms part of a customer website, Sprint Start grants the customer a continuing licence to use the material as incorporated into their completed website to the extent reasonably necessary to operate that website after ownership has transferred.
Third-party and open-source software, fonts, libraries and assets remain subject to their respective licences and are not transferred beyond the rights permitted by those licences.
18. Handover and moving hosting
Once the customer is entitled to ownership of the website and all amounts due have been paid, the customer may move the website to suitable replacement hosting.
Sprint Start will provide reasonable standard handover assistance and the customer-specific material reasonably required to operate the completed website.
This may include transfer to a customer-owned suitable hosting account such as Vercel where technically appropriate.
Handover does not require Sprint Start to transfer:
- Sprint Start's internal business systems;
- unrelated repositories or customer information;
- reusable proprietary tooling;
- internal deployment systems;
- confidential information;
- licences that cannot legally be transferred; or
- material unrelated to the customer's website.
Unusual migration work, substantial reconfiguration or ongoing assistance after handover may be separately quoted.
Sprint Start is not responsible for the operation, security or maintenance of the website after it has been moved away from Sprint Start Managed, except for obligations that expressly survive termination or arise under the defect warranty below.
19. 30-day defect warranty
Sprint Start includes a 30-day defect warranty with websites it builds.
The warranty period begins when the website is launched or formally handed over, whichever occurs first.
For this warranty, a defect means functionality or implementation created by Sprint Start that materially fails to operate as agreed at launch.
Where a valid defect is reported during the warranty period, Sprint Start will use reasonable efforts to correct it without an additional development charge.
The defect warranty does not cover:
- new features or requirements;
- ordinary content changes;
- redesign requests;
- customer or third-party modifications;
- misuse;
- failures caused by third-party providers outside Sprint Start's control;
- changes made after handover by someone other than Sprint Start;
- problems caused by customer-supplied material; or
- changes to external platforms, browsers, APIs or services occurring after launch.
Customers using Sprint Start Managed continue to receive the ongoing technical maintenance and support included in Managed after the 30-day defect warranty ends.
The end of the defect warranty does not end Sprint Start's separate obligations under an active Managed agreement.
20. SEO, enquiries and business results
Sprint Start builds websites with search-friendly foundations and may provide features intended to help a business present itself professionally and generate enquiries.
However, Sprint Start does not guarantee:
- any particular Google or other search-engine ranking;
- that a website will appear in a particular position for a search term;
- that search engines will index a website within a particular timeframe;
- any particular number of website visitors;
- any particular number of enquiries, leads or customers;
- increased revenue, profit or sales;
- Google review volumes or ratings; or
- any other specific commercial result.
Search-engine rankings and business results depend on many factors outside Sprint Start's control, including competition, search-engine algorithms, the customer's reputation, location, content, external profiles, advertising and market conditions.
References on the Sprint Start website to obtaining more enquiries, generating more work or similar benefits describe the intended purpose of a professional business website and are not guarantees of results.
Unless separately agreed in writing, Sprint Start does not provide an ongoing SEO campaign, paid advertising management or guaranteed search-ranking service as part of a standard website build or Sprint Start Managed.
21. Google reviews and external platforms
Where Sprint Start provides functionality intended to help a customer request or display Google reviews, Sprint Start does not control Google or guarantee that:
- a customer will leave a review;
- a review will be published;
- a review will remain published;
- a particular rating will be achieved; or
- Google's services or policies will remain unchanged.
The customer remains responsible for complying with the terms and policies of any external platform they use.
22. Security, availability and backups
Sprint Start will use reasonable care and skill when building, hosting and maintaining websites.
No website or online service can be guaranteed to be completely secure, continuously available or free from errors.
Unless Sprint Start expressly agrees a separate service level in writing, Sprint Start does not guarantee:
- 100% uptime;
- uninterrupted availability;
- immunity from cyber attacks;
- that third-party services will never fail;
- a particular recovery time;
- a particular backup frequency or retention period; or
- that every technical issue can be prevented.
Where Sprint Start Managed includes monitoring or recovery support, Sprint Start will use reasonable efforts to investigate and address issues within its responsibility.
Customers must promptly tell Sprint Start if they become aware of a security issue, unauthorised access or other significant problem affecting their website.
Sprint Start may take reasonable urgent action where necessary to protect a website, Sprint Start's systems, other customers or third-party infrastructure.
23. Suspension
Sprint Start may temporarily suspend all or part of a service where reasonably necessary because of:
- overdue payment;
- a serious security risk;
- suspected unlawful use;
- material infringement of third-party rights;
- misuse of Sprint Start's systems;
- a material breach of these Terms;
- requirements imposed by a hosting or infrastructure provider; or
- circumstances where continuing the service could reasonably cause harm to Sprint Start, the customer or another party.
Where reasonably practicable, Sprint Start will notify the customer and give them an opportunity to remedy the issue before suspension.
Immediate suspension may be used where urgent action is reasonably necessary for security, legal or operational reasons.
Sprint Start will not use suspension arbitrarily.
Suspension does not automatically cancel outstanding charges or an existing minimum commitment.
24. Termination
Either party may terminate an agreement in accordance with any applicable minimum term, cancellation period or renewal provisions contained in these Terms or the agreed proposal.
Either party may terminate the agreement for a material breach by the other party where:
- the breach can be remedied and is not remedied within a reasonable period after written notice; or
- the breach is sufficiently serious that it cannot reasonably be remedied.
Sprint Start may end Sprint Start Managed for any reason by giving at least 60 days' written notice. Where the customer has paid in advance for a period after the notice ends, Sprint Start will refund the unused part. Section 3 applies where this happens during a £0 Build commitment.
Sprint Start may also terminate services following persistent non-payment, unlawful use or serious misuse of its systems after taking reasonable steps appropriate to the circumstances.
Termination does not affect rights or amounts that accrued before termination.
Where the customer is entitled to ownership and handover of a website, the handover provisions in these Terms continue to apply after termination once all applicable amounts due have been paid.
25. Consequences of ending Managed
When Sprint Start Managed ends:
- Sprint Start's obligation to provide ongoing hosting, monitoring, maintenance and included content updates ends;
- the customer is responsible for arranging replacement hosting if they want the website to remain online;
- Sprint Start may remove the website from Sprint Start-controlled hosting after the Managed service has ended and a reasonable handover opportunity has been provided;
- third-party services paid for or controlled by the customer remain the customer's responsibility; and
- unpaid invoices and other amounts properly due remain payable.
Where the customer is entitled to website ownership and has paid all amounts due, Sprint Start will provide the reasonable standard handover described in these Terms.
Sprint Start is not required to continue hosting a website indefinitely after the Managed agreement has ended.
Where Managed ends because of non-payment, Sprint Start will keep a recoverable copy of the website for 60 days after termination as a precaution. After that period Sprint Start may permanently delete it. This is not a guarantee of storage or recovery.
26. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
In particular, nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to those exceptions, Sprint Start will not be liable for indirect or consequential loss.
Because these Terms apply to business customers, Sprint Start will not be liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business, contracts or opportunity, loss of goodwill, or loss or corruption of data, in each case whether the loss is direct or indirect. This includes enquiries or work the customer says were lost while a website or form was unavailable.
The customer should keep their own copies of the content, photographs and other material they supply.
Sprint Start is not responsible for losses caused solely by:
- inaccurate, unlawful or infringing information supplied or approved by the customer;
- customer modifications;
- third-party modifications made without Sprint Start's agreement;
- failures of third-party services outside Sprint Start's reasonable control;
- the customer's failure to maintain domains, accounts, credentials or third-party subscriptions;
- the customer's failure to follow reasonable security or operational instructions; or
- events outside Sprint Start's reasonable control.
Subject to liabilities that cannot lawfully be limited or excluded, Sprint Start's total aggregate liability arising out of a particular customer agreement will not exceed the total amount paid or payable by the customer to Sprint Start under that agreement during the 12 months immediately preceding the event giving rise to the claim.
If the relevant agreement has existed for less than 12 months, the cap will be the total amount paid or payable under the agreement up to the date of the event giving rise to the claim.
Nothing in this section removes Sprint Start's obligation to use reasonable care and skill in providing the agreed services.
27. Customer decisions and professional advice
Sprint Start provides website design, development, hosting and related technical services.
Sprint Start does not provide legal, tax, accounting, regulatory or other professional advice unless expressly agreed and appropriately qualified to do so.
The customer is responsible for determining the legal and regulatory requirements applicable to their own business and website.
Where appropriate, customers should obtain their own professional advice regarding matters such as regulated claims, licences, industry requirements, accessibility obligations, tax, privacy requirements and terms applicable to their own customers.
28. Data protection
Each party is responsible for complying with the data-protection laws that apply to its own activities.
Sprint Start handles personal information relating to its own enquiries, applicants and customers as described in its Privacy Notice.
Where Sprint Start processes personal data on behalf of a customer in connection with a customer website, the parties will comply with applicable UK data-protection requirements, and the following data-processing terms form part of the customer agreement:
- Roles. For personal information that visitors submit through the customer's website (for example enquiry form details), the customer is the controller and Sprint Start is its processor. For Sprint Start's own customer, billing and account records, Sprint Start is the controller, as described in its Privacy Notice.
- Subject matter, purpose and duration. Hosting the customer's website and delivering enquiries submitted through it to the customer, for as long as Sprint Start hosts the website plus the deletion period below.
- Types of information and people concerned. Names, phone numbers, email addresses, postcodes or areas, job details and any other information visitors choose to enter into the customer's forms, plus limited technical data (such as pseudonymised IP-derived identifiers) used for security and spam prevention. The people concerned are visitors to the customer's website and people who contact the customer through it.
- Instructions. Sprint Start will process this information only to provide the agreed service and otherwise only on the customer's documented instructions, unless UK law requires otherwise, in which case Sprint Start will tell the customer first unless the law prevents it. Sprint Start will tell the customer if it believes an instruction breaks data-protection law.
- Confidentiality. Anyone at Sprint Start who can access this information is bound by confidentiality.
- Security. Sprint Start will use appropriate technical and organisational measures, including HTTPS, security headers, access limited to Sprint Start with two-step login on its admin accounts, spam and abuse protection on forms, and not storing form submissions in a database (they are delivered to the customer by email).
- Sub-processors. The customer authorises Sprint Start to use Vercel (website hosting), Resend (email delivery), Upstash (security rate-limiting, storing only pseudonymised counters) and Sentry (error monitoring, set up so error reports leave out form contents and visitor contact details). Sprint Start will give notice of any intended change of sub-processor so the customer can object, will put equivalent data-protection terms in place with each sub-processor and remains responsible for them.
- Assistance. Taking into account what it can reasonably do, Sprint Start will help the customer respond to people exercising their data-protection rights and meet its obligations on security, personal data breaches and any data protection impact assessment.
- Breaches. If Sprint Start becomes aware of a personal data breach affecting information it processes for the customer, it will tell the customer without undue delay, aiming to do so within 24 hours, with the information available, so the customer can decide whether to report it to the ICO.
- End of service. When hosting ends, Sprint Start will delete or return the personal information it processes for the customer (at the customer's choice) within 30 days, unless UK law requires it to be kept.
- Information and audits. Sprint Start will provide the information reasonably needed to show it meets these terms and will allow for and contribute to reasonable audits by the customer or an auditor it appoints, on reasonable notice.
- International transfers. Sub-processors may process information outside the UK. Where they do, Sprint Start relies on UK adequacy regulations or appropriate safeguards (such as the UK International Data Transfer Addendum) put in place by those providers.
Customers remain responsible for determining the purposes and lawful basis for personal information they collect through their own business and website, except where Sprint Start independently determines a purpose for processing.
The customer is responsible for telling Sprint Start about any special data-protection requirements relevant to their project before Sprint Start is asked to implement them.
29. Confidentiality
Each party may receive confidential information belonging to the other while working together.
Each party will take reasonable steps to protect confidential information and will not disclose it to third parties except:
- where necessary to provide or receive the agreed services;
- to professional advisers or service providers who have an appropriate need to know;
- where the information is already lawfully public;
- where disclosure is authorised by the other party; or
- where disclosure is required by law.
This obligation continues after the agreement ends for as long as the information remains confidential.
Customers must not send passwords, secret keys or other sensitive credentials through channels where Sprint Start has instructed them not to do so.
30. Force majeure and events outside reasonable control
Neither party will be responsible for delay or failure to perform an obligation where that delay or failure results from circumstances outside its reasonable control.
Examples may include:
- widespread internet or infrastructure outages;
- failure of major third-party platforms;
- natural disasters;
- fire or flood;
- war or civil disturbance;
- government action;
- significant cyber incidents not caused by that party's failure to take reasonable care; or
- other events that could not reasonably have been prevented.
The affected party should take reasonable steps to minimise the effect of the event and resume performance when reasonably possible.
Payment obligations for services already supplied are not cancelled merely because a force majeure event occurs.
31. Changes to services and prices
Sprint Start may improve or reasonably modify its services over time.
Changes will not remove a material element of an already-paid service without reasonable justification or an appropriate alternative.
Sprint Start may change prices for future projects at any time.
For ongoing Managed services, Sprint Start will give at least 60 days' written notice before a price increase applies. A price increase will not apply partway through a paid annual service period.
A price change will not retrospectively alter charges already paid for an existing paid service period.
Where the customer does not accept a future Managed renewal price, they may choose not to renew, subject to any minimum commitment that has not yet been completed.
32. Changes to these Terms
Sprint Start may update these Terms from time to time.
The version agreed when a customer enters into a project or service will govern that agreement unless:
- the parties agree to replace or vary it;
- a change is required by law;
- a reasonable operational change is required for an ongoing service and does not materially disadvantage the customer; or
- the agreement expressly allows the relevant change.
Material changes affecting an ongoing customer agreement will be communicated where reasonably appropriate.
Publishing new Terms on the Sprint Start website does not by itself retrospectively rewrite a completed fixed-scope project agreement.
33. Notices and communication
Routine project and service communications may take place by email, telephone, WhatsApp or another channel agreed between Sprint Start and the customer.
Formal notices concerning cancellation, material breach or termination must be given in writing. Email counts as writing.
Notices to Sprint Start may be sent to:
The customer is responsible for keeping their contact details reasonably up to date.
34. No waiver
If either party does not immediately enforce a right under the agreement, that does not mean the right has been waived.
A waiver of one breach does not automatically waive a later breach.
35. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where modification is not possible, removed.
The remaining provisions will continue to apply.
36. Entire agreement
The accepted proposal, quotation or order confirmation, these Terms and any documents expressly incorporated into the agreement form the agreement between Sprint Start and the customer for the relevant services.
They replace previous discussions or communications about the same agreed service to the extent those earlier communications are inconsistent with the final written agreement.
Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
37. Third-party rights
Unless expressly stated otherwise, a person who is not a party to the agreement has no right to enforce these Terms.
38. Assignment
The customer may not transfer the agreement to another person or business without Sprint Start's reasonable written agreement.
Sprint Start may transfer the agreement as part of a genuine sale, transfer or reorganisation of the Sprint Start business, provided doing so does not materially reduce the customer's contractual rights.
39. Governing law and jurisdiction
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes arising from the agreement, subject to any mandatory legal rule that applies otherwise.
